Terms of Service

General Information

These Terms govern access to and use of the EYVE Inc. (“EYVE”, “we”, “our” or “us”) web and mobile services by users, mentees, candidates, and stakeholders (collectively, “you” or “your” or “I”) affiliated with EYVE educational leadership. We may revise these Terms from time to time in our sole discretion, including to reflect changes in applicable law. PLEASE REVIEW ON A REGULAR BASIS TO VIEW ANY REVISIONS. By continuing to use our web and mobile services, you agree to the Terms set forth herein, and any regulations set by the regulatory bodies and applicable regional, provincial, and national acts and legislation. These Terms are in addition to the contract, service agreement, and/or memorandum entered into with EYVE. It does not replace that agreement.

Access

To access our web and mobile services, you must formally apply via email or completion of the web form with your resume/curriculum vitae. You are entirely responsible for maintaining the confidentiality of your user information and any activities that occur while with EYVE. You agree to immediately notify EYVE of any unauthorized or suspected unauthorized use or any other breach of security.

Restrictions on Use

You agree that you will not use the web and mobile services or its supported web components for any purpose that violates any applicable regional, provincial, national or international law or other applicable regulations. Such prohibited activities include, but are not limited to:

  • Damaging, disabling, impairing overburdening or otherwise impairing repositories, servers or networks of EYVE;

  • Interfering with other party’s use of services;

  • Attempting to gain unauthorized access to EYVE, through hacking, password mining or any other means;

  • Accessing or altering data stored within EYVE web and mobile services, including personal data of other users, when you are not authorized to do so;

  • Using the services in a manner that is harmful, threatening, abusive, harassing, tortious, indecent, defamatory, discriminatory, profane, violent or inciting violence, inflammatory, or otherwise objectionable;

  • Attempting to impersonate another person or entity within the EYVE Community; and

  • Using the services in a manner that violates these Terms or has not been authorized.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EYVE and its partners and affiliates will not be liable for any damages suffered by you that result from or relate in any manner whatsoever to (i) accessing or using any service, whether such access or use is authorized or unauthorized, (ii) attempting to access or use the service, (iii) inability to access or use the service, (iv) any breach of security associated with the transmission of information through the internet, (v) reliance on the service even if EYVE was advised of the possibility of such damages. This limitation of liability extends to and prohibits claims for direct damages as well as incidental, special, compensatory, indirect, punitive, or consequential damages (including, without limitation, any lost profits or damages for business interruption, loss of information, programs or other data). YOU UNDERSTAND AND AGREE THAT YOUR USE OF THE SERVICE IS BEING DONE AT YOUR OWN DISCRETION AND RISK AND WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGES IN CONNECTION WITH THE SERVICE, INCLUDING LOSS OF DAMAGE TO YOUR COMPUTER SYSTEM OR MOBILE DEVICE.

By participating in programs, events, services, coaching sessions, or other activities ("Activities") offered by EYVE, you acknowledge and agree to the following:

  1. Voluntary Participation
    I voluntarily choose to participate in the Activities offered by the Company, which may include but are not limited to leadership development workshops, coaching, seminars, online training, and group discussions.

  2. Assumption of Risk
    I understand that participation in such Activities may involve risks, including but not limited to physical, psychological, or emotional injury, stress, or other personal or professional consequences. I knowingly and freely assume all such risks, both known and unknown, and take full responsibility for my participation.

  3. Release of Liability
    To the fullest extent permitted by law, I hereby release, waive, discharge, and hold harmless EYVE, its owners, directors, officers, employees, contractors, agents, and affiliates from any and all liability, claims, demands, causes of action, or expenses (including attorney’s fees) arising out of or related to any loss, damage, injury, or harm that may result from my participation in the Activities, whether caused by negligence or otherwise.

  4. No Guarantee of Outcomes
    I understand that the Company does not guarantee any specific results from its services, and any decisions I make as a result of participating are my own responsibility.

  5. Medical and Professional Disclaimer
    I understand that the Company’s services are educational in nature and are not intended to be a substitute for legal, financial, medical, psychological, or other professional advice. I am solely responsible for seeking professional guidance as needed.

  6. Media Release (Optional)
    I grant permission for the Company to use any photographs, video, or audio recordings taken during Activities for promotional, educational, or commercial purposes, unless I provide written notice opting out.

  7. Governing Law
    This agreement shall be governed by and construed in accordance with the laws of Canada, without regard to its conflict of law principles.

No Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE ARE PROVIDED "AS IS" AND USED AT YOUR SOLE RISK WITH NO WARRANTIES WHATSOEVER. WE DO NOT MAKE ANY WARRANTIES, CLAIMS OR REPRESENTATIONS AND EXPRESSLY DISCLAIMS ALL SUCH WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, WITH RESPECT TO THE SERVICE AND ITS SUPPORTING SOFTWARE INCLUDING, WITHOUT LIMITATION, WARRANTIES OR CONDITIONS OF QUALITY, PERFORMANCE, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR USE FOR A PARTICULAR PURPOSE. FURTHER, WE DO NOT REPRESENT OR WARRANT THAT THE SERVICE AND ITS SUPPORTING SOFTWARE, AND ANY DATA OR OTHER CONTENT THAT YOU ENTER, PRODUCE, SHARE, DISCLOSE, LINK. OR UPLOAD INTO THE SERVICE, WILL ALWAYS BE AVAILABLE, ACCESSIBLE, UNINTERRUPTED, TIMELY, SECURE, ACCURATE, COMPLETE AND ERROR-FREE OR WILL OPERATE WITHOUT PACKET LOSS, NOR DO WE WARRANT ANY CONNECTION TO OR TRANSMISSION FROM THE INTERNET, OR ANY QUALITY OF CALLS MADE THROUGH THE SOFTWARE.

Confidentiality

You may be able to access your or our Confidential Information when using the Service. Confidential Information means (a) any written information, materials and other documents, which would not be generally disclosed publicly and (b) any other information designated as confidential or proprietary, or that due to the nature of the information a reasonable person would clearly understand it to be confidential information. Regarding our Confidential Information, you will: (a) use it only for its intended purpose; (b) not disclose it to others; and (c) safeguard it against unauthorized use and disclosure as diligently as your own similar information, applying at least a reasonable degree of care.

Intellectual Property

The Service is the property of EYVE, or, as applicable, its CEO and Founder Dr. Dahlia Khajeei, PhD. You may not modify, copy, distribute, transmit, display, publish, store, timeshare, sell, license, rent, create derivative works or otherwise use the Service in any unauthorized manner. Your use of the Service does not entitle you to make any unauthorized use of the Service. You agree that you do not acquire any ownership rights in the Service. EYVE does not grant any licenses, express or implied, to its intellectual property or that of its licensors, except as expressly authorized by these Terms or in writing by EYVE including any terms and conditions between EYVE and partners, affiliates, and associates.

You may not use trademarks, logos and service marks appearing on the Service for any purpose without the prior written consent of EYVE or such other party as may own the mark, which EYVE or such third party may withhold in its sole discretion. EYVE is a registered trademark of Dr. Dahlia Khajeei, PhD. All rights reserved. Names and logos of other companies' products mentioned in this Service are trademarks of the respective owners.

General Provisions

Any provision of these Terms which is unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions and any such prohibition or unenforceability in any jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.

These Terms are governed by and construed in accordance with the laws of Canada and its applicable federal laws without regard to conflicts of law principles. You agree that any and all proceedings relating to the Service and the subject matter contained herein will be maintained in the courts which will have exclusive jurisdiction for such purpose. Any claim or dispute related to the Service or under these Terms, and any legal notices on the Service, must be instituted within one (1) year after the claim arose (if multiple claims, from the date the first claim arise), or be forever waived and barred.
